1. General

1.1. These general terms and conditions apply to all offers, agreements and services of Senzual Roomz.
1.2. By using our services, the customer agrees to these terms and conditions.
1.3. Deviations from these terms and conditions are valid only if agreed in writing.
1.4. If any provision in these terms and conditions is found to be invalid, the remaining provisions shall remain in full force and effect.
1.5. Senzual Roomz reserves the right to change the general terms and conditions unilaterally. Customers will be informed in a timely manner.
1.6. If a customer does not agree to a change in the general terms and conditions, they have the right to terminate the agreement within 14 days of notification.
1.7. All communication between Senzual Roomz and the customer is preferably in writing (e-mail or post) to avoid misunderstandings.

2. Services

2.1. Senzual Roomz designs and furnishes rooms based on the client’s wants and needs.
2.2. Our services include:

• Opinion
• Design and visualization
• Purchase and installation of furniture and accessories
• Styling and finishing
• Color and material advice
• Lighting plan and lighting advice
• Custom solutions and furniture design
• Spatial layout and optimization
  2.3. Any additional services shall be agreed upon in advance and recorded in writing.
  2.4. Senzual Roomz reserves the right to cooperate with external suppliers and professionals to realize the execution of the order.
  2.5. For projects with long lead times, periodic consultations will be held with the client to monitor progress and make any necessary adjustments.

3. Offers and Agreements.

3.1. All offers of Senzual Roomz are non-binding and valid for 28 days from the date of signing, unless otherwise stated.
3.2. An agreement is established when the customer agrees to the quotation in writing or makes a down payment according to article 4.3.
3.3. We reserve the right to refuse orders without giving reasons.
3.4. Prices in quotations are based on the rates applicable at that time and may change in the event of a change in market conditions.
3.5. After acceptance of the quotation, the customer can no longer make changes free of charge, unless otherwise agreed in writing.
3.6. If a quotation contains components that depend on external suppliers, price changes and availability of these suppliers are reserved.

4. Prices and Payment

4.1. All prices are exclusive of applicable sales tax, unless otherwise indicated.
4.2. Payment shall be made according to the terms agreed upon in the quotation.
4.3. The terms of payment are as follows:

• 30% at order confirmation
• 30% at start of work
• 30% halfway through implementation
• 5% upon completion of work
• 5% upon completion

4.4. In case of late payment, Senzual Roomz has the right to suspend or cancel the execution of the order.

4.5. Payment shall be made within 14 days as agreed in quotation.
4.6. Additional costs due to change requests by the customer will be charged separately.
4.7. If an invoice is not paid within the agreed period, statutory interest and collection costs may be charged.
4.8. If a customer structurally defaults on payments, Senzual Roomz reserves the right to take further legal action.
4.9. Payments must be made by bank transfer to Senzual Roomz’s account as stated on the invoice.

5. Cancellation and Changes.

5.1. Cancellation of an assignment must be in writing.
5.2. Cancellation within 30 days before the start date will incur a cancellation fee of 20% of the total amount.
5.3. Changes to an order may result in adjustments to the price and/or completion date, schedule.
5.4. If materials or furniture have already been ordered, these costs cannot be recovered upon cancellation.
5.5. If the customer wishes changes in the project, these must be communicated in a timely manner in writing.
5.6. A change in the project may result in a recalculation of the total price and completion date.

6. Completion and Liability.

6.1. Senzual Roomz strives to meet the agreed delivery date, but cannot be held liable for delays due to force majeure.
6.2. The customer must inspect the completed work within 14 days of completion and report any defects in writing.
6.3. We are not liable for damage caused by misuse or changes made by third parties after completion.
6.4. Senzual Roomz is not liable for damages resulting from incorrect information provided by the customer.
6.5. Damage caused by suppliers or external professionals is beyond the responsibility of Senzual Roomz.
6.6. Warranty on delivered materials and furniture depends on the warranty conditions of the respective supplier.
6.7. Minor deviations in color, material and finish may occur and do not constitute grounds for complaint.

7. Intellectual Property

7.1. All designs, concepts and styling ideas remain the property of Senzual Roomz unless otherwise agreed.
7.2. It is not permitted to copy or use our designs without written permission.
7.3. Senzual Roomz retains the right to use visual material of completed projects for promotional purposes, unless the customer objects in writing.

8. Applicable Law and Disputes.

8.1. These terms and conditions are governed by Dutch law.
8.2. Disputes shall be submitted to the competent court in South Holland.
8.3. Parties shall endeavor to resolve disputes in mutual consultation first before legal action is taken.

9. Orders and Deliveries.

9.1. Products that are in stock can be delivered immediately.
9.2. In the case of assembly on location for a single order, an hourly rate of €65 is charged, excluding the applicable sales tax.
9.3. Parts will be discreetly and carefully packed prior to shipment.
9.4. If no one is present at the specified address, additional transport and storage costs will be charged.
9.5. For deliveries to Switzerland and other non-EU countries, we do not charge VAT. You pay only the net price. Customs clearance is handled by our shipping service provider and stated on the invoice.
9.6. Any import duties will be billed by customs.
9.7. Custom products have a delivery time of 2 to 12 weeks.
9.8. Rush deliveries can be discussed by mutual agreement.
9.9. If the customer does not find a suitable product, Senzual Roomz can offer a custom solution.

10. Secrecy and Confidentiality

10.1. Both parties are obliged to maintain strict confidentiality of all confidential information they obtain from each other in the context of the agreement. 10.2. Confidential Information means any information designated as such or reasonably believed to be confidential in nature, including but not limited to business strategies, designs, customer data, pricing agreements and non-public information about products and services.

10.3. The parties shall take all reasonable measures to protect the Confidential Information from unauthorized access, use or disclosure.

10.4. Senzual Roomz and the Customer may use confidential information only for the performance of the Agreement and not for any other purpose without the prior written consent of the other party.

10.5. The obligation of confidentiality remains in effect after termination of the agreement, regardless of the reason for termination.

10.6. Information is not considered confidential if it:

• Already publicly known at the time of issuance;
• Lawfully obtained from a third party without violating a duty of confidentiality;
• Developed by the receiving party independently and without the use of the confidential information.

10.7. If a party is required by law or court order to disclose confidential information, it shall notify the other party as soon as possible and limit the disclosure as much as possible.

10.8. Violation of this duty of confidentiality may lead to claims for damages and other legal action by the aggrieved party.

10.9. Photos and other visual material from the project may only be shared on Senzual Roomz’s website or social media with the prior consent of both parties.
